These Terms of Service apply to the websites, mobile applications, products, features, and services operated by GAYTE LLC under the Gayte App brand (“Gayte”, “we”, “us”, or “our”), collectively referred to as the “Service”.
You must be at least eighteen (18) years old or the age of majority in your jurisdiction, whichever is greater, to access or use the Service.
The Service may allow adult users to share personal content and communicate with each other, subject to these Terms, our content guidelines, applicable law, and the safety and consent features made available through the Service. However, your use of the Service does not grant you permission to send unsolicited, harassing, abusive, illegal, non-consensual, or otherwise prohibited content to any other user.
Some countries, states, and regions may restrict or criminalize the unsolicited transmission of sexually explicit, obscene, indecent, or similar visual material without the recipient’s consent. You are solely responsible for ensuring that any content you send, share, upload, or transmit through or in connection with the Service complies with applicable law and with the recipient’s consent.
Gayte does not guarantee that any user consents to receive any particular content merely because that user uses the Service. You must respect other users’ choices, boundaries, privacy, and applicable content preferences or consent mechanisms made available through the Service.
Although Gayte strives to encourage a respectful and safer user experience, Gayte is not responsible for the conduct, communications, omissions, or actions of any user, whether on or off the Service. You agree to use caution in all interactions with other users, particularly if you decide to communicate outside the Service or meet in person.
These Terms of Service, together with any policies, guidelines, or additional terms incorporated by reference, including our Privacy Policy, constitute a valid and binding agreement between you and Gayte LLC, doing business as Gayte App (“Gayte”, “we”, “us”, or “our”), governing your access to and use of our websites, mobile applications, products, features, and services, collectively, the “Service”.
By accessing, browsing, registering for, downloading, installing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service and must uninstall the App from any device owned or controlled by you.
Gayte reserves the right to modify, update, or replace these Terms at any time, subject to applicable law. We recommend that you periodically review these Terms for changes. Where required by applicable law or where Gayte considers it appropriate, we may provide notice of material changes through the Service, by email, or by other reasonable means.
By continuing to access or use the Service after updated Terms become effective, you agree to be bound by the updated Terms, except where applicable law requires your express consent. If you do not agree to the updated Terms, you must stop using the Service and uninstall the App.
Our Privacy Policy governs how we collect, use, disclose, and otherwise process certain information about you in connection with the Service.
Subject to your compliance with these Terms, Gayte grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your personal, non-commercial purposes and in accordance with these Terms.
Subject to your compliance with these Terms, Gayte further grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the App, in machine-readable object code form only, on compatible devices that you own or control, solely for your personal, non-commercial purposes and in accordance with these Terms and any applicable app store terms.
Gayte may make the App available for download through the Apple App Store, Google Play Store, or other third-party app stores or distribution platforms, as applicable, each an “App Store”. Your download, installation, access to, and use of the App may also be governed by the applicable terms, policies, rules, and procedures of the App Store through which you download the App, the “App Store Terms”.
These Terms apply between you and Gayte and are intended to supplement, not replace, the applicable App Store Terms. To the extent there is any conflict or inconsistency between these Terms and the applicable App Store Terms regarding your use of the App Store, the App Store Terms shall prevail solely with respect to such App Store-related matter.
You are authorized to download the App only through the App Stores or other official distribution channels through which Gayte makes the App available. You may not download, install, access, or use unauthorized, modified, unofficial, or third-party versions of the App.
Gayte reserves the right, at its sole discretion and subject to applicable law, to suspend, restrict, or terminate your license to access or use all or any part of the Service, as well as any rights granted to you under these Terms, at any time where Gayte considers such action appropriate or necessary, including where you violate these Terms, any applicable guidelines, applicable law, or any applicable App Store Terms.
Upon suspension or termination of your license or account, you must immediately stop using the Service and, where applicable, remove and delete all copies of the App from your devices. Gayte may also restrict or block your access to the Service or your account and may delete, retain, or otherwise process information associated with your account in accordance with these Terms, our Privacy Policy, and applicable law.
All rights not expressly granted to you under these Terms are reserved by Gayte and its licensors.
You must be at least eighteen (18) years old or the age of majority in your jurisdiction, whichever is greater, to access or use the Service.
By accessing, registering for, or using the Service, you represent and warrant that you meet the applicable age requirement, have the legal capacity to enter into and comply with these Terms, and are not prohibited from using the Service under any applicable law, regulation, rule, order, or restriction.
If you are under eighteen (18) years old or under the age of majority in your jurisdiction, whichever is greater, you may not access, register for, or use the Service. Any person who accesses or uses the Service in violation of this Section may be banned, suspended, removed from the Service, and/or subject to any other action Gayte considers appropriate or necessary.
You are solely responsible for ensuring that your access to and use of the Service is lawful in the jurisdiction from which you access or use the Service. If any applicable law, regulation, rule, order, or restriction prohibits your access to or use of the Service, you must not access or use the Service.
To enforce the minimum age requirement applicable to the Service and to help prevent minors from accessing the Service, Gayte may require users to complete an age assurance process before creating an account, accessing certain features, or continuing to use the Service.
Gayte may use a third-party service provider, including Didit, to perform this process. Depending on the method used, you may be required to capture or upload a live selfie. Automated technologies, including artificial intelligence and facial analysis, may be used to estimate your age and to perform liveness, anti-spoofing, fraud-prevention, and related security checks.
Facial age estimation provides a probabilistic estimate and does not necessarily determine your exact age, date of birth, identity, background, or trustworthiness. A successful age assurance result does not constitute an endorsement, identity guarantee, background check, or safety guarantee by Gayte.
Gayte may receive and use information generated by the age assurance process, such as a verification status, estimated age or age range, confidence indicators, liveness results, warnings, fraud signals, and related technical information, as described in our Privacy Policy.
If the result indicates that you may not meet the applicable minimum age requirement, is inconclusive, cannot be completed, or raises a security or fraud concern, Gayte may require you to try again, complete an alternative age assurance method, provide additional evidence where permitted by law, request human review, or restrict, suspend, or deny access to the Service.
You must not attempt to circumvent, manipulate, interfere with, or mislead the age assurance process. You must not submit another person’s image, video, identity document, or information, or use altered, synthetic, generated, prerecorded, or otherwise misleading material.
Information about the personal data processed during age assurance, the service providers involved, the purposes and legal bases for processing, applicable retention periods, international transfers, automated decision-making, and your privacy rights is provided in our Privacy Policy and in any notice displayed before the age assurance process begins.
The App, the website, and the Service are provided on an “as is”, “with all faults”, and “as available” basis. To the fullest extent permitted by applicable law, Gayte and its affiliates, officers, directors, employees, contractors, agents, licensors, service providers, successors, and assigns (the “Gayte App Parties”) disclaim all warranties, representations, and conditions of any kind, whether express, implied, statutory, or otherwise, including without limitation any implied warranties or conditions of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, reliability, integration, interoperability, security, or quiet enjoyment.
The Gayte App Parties do not represent or warrant that the Service, or any information, content, materials, features, or functionality made available through the Service, will be accurate, complete, current, reliable, secure, uninterrupted, error-free, free from defects, or free from viruses, malware, or other harmful components, or that any defects will be corrected.
You understand and agree that you use the Service at your own discretion and risk. You are solely responsible for your use of the Service, your interactions with other users, and any decisions or actions you take based on information, content, communications, location data, or other materials made available through the Service.
To the fullest extent permitted by applicable law, the Gayte App Parties shall not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or similar damages, or for any loss of profits, revenue, business, anticipated savings, goodwill, reputation, data, content, use, or other intangible losses, arising out of or relating to these Terms, the Service, your access to or use of the Service, your inability to access or use the Service, any interruption, suspension, limitation, modification, or termination of the Service, any user content, or any conduct of any user or third party, whether based on contract, tort, negligence, strict liability, warranty, statute, or any other legal theory, and regardless of whether Gayte has been advised of the possibility of such damages or whether such damages were foreseeable.
To the fullest extent permitted by applicable law, the total aggregate liability of the Gayte App Parties for all claims arising out of or relating to these Terms or the Service shall not exceed the greater of: (i) the total amount paid by you to Gayte, if any, for the Service during the twelve (12) months immediately preceding the event giving rise to the claim; or (ii) one hundred United States dollars (USD 100).
You understand that use of the Service, including communications, interactions, sharing of content or location information, and meetings with other users, may involve known and unknown risks, including risks arising from the acts, omissions, intentions, representations, or conduct of other users or third parties, whether online or offline. You are solely responsible for taking appropriate precautions and exercising judgment when using the Service, communicating with other users, sharing information, or meeting other users in person.
To the fullest extent permitted by applicable law, you release, waive, discharge, and hold harmless the Gayte App Parties from any and all claims, demands, causes of action, losses, liabilities, damages, costs, and expenses arising out of or relating to your use of the Service, your interactions with other users, user content, third-party conduct, or circumstances outside Gayte’s reasonable control.
The limitations, exclusions, disclaimers, and releases set out in this Section form an essential basis of the agreement between you and Gayte, and Gayte would not be able to provide the Service on an economically reasonable basis without them.
Nothing in these Terms shall exclude, restrict, or limit any liability or rights that cannot be excluded, restricted, or limited under applicable law, including any liability for fraud, fraudulent misrepresentation, willful misconduct, gross negligence, death or personal injury caused by negligence, or any mandatory consumer protection, data protection, or statutory rights that cannot be waived.
Gayte reserves the right, at any time and at its sole discretion, to modify, suspend, limit, replace, discontinue, or make unavailable the Service, or any feature, functionality, or portion thereof, temporarily or permanently, with or without notice, subject to applicable law.
To the fullest extent permitted by applicable law, Gayte and its affiliates, officers, directors, employees, contractors, agents, licensors, service providers, successors, and assigns shall not be liable to you or any third party for any modification, suspension, limitation, replacement, discontinuance, or unavailability of the Service, or any feature, functionality, or portion thereof.
Gayte reserves the right, at its sole discretion and subject to applicable law and our Privacy Policy, to suspend, deactivate, delete, or otherwise restrict Standard accounts that have been inactive for more than one hundred eighty (180) days.
This inactivity policy does not apply to Premium accounts with active paid subscriptions. Upon deletion of an inactive account, Gayte may permanently delete or make unavailable the account, profile, content, messages, media, settings, and any other data associated with that account, except where retention is required or permitted by applicable law.
Gayte and/or its licensors, suppliers, and service providers own all rights, title, and interest in and to the App, the Service, the website, the software, systems, technology, databases, interfaces, tools, features, designs, documentation, and other materials used to provide, operate, maintain, and improve the Service, together with all associated intellectual property rights (“Our Technology”).
Our Technology is protected by copyright, trademark, trade secret, database, and other intellectual property laws and treaties. Our Technology is licensed, not sold, to you, and may be used only in accordance with these Terms. Gayte reserves all rights not expressly granted to you.
The Gayte name, Gayte app icon, Gayte app logo, designs, graphics, trade dress, service names, product names, and related marks are trademarks, service marks, or other intellectual property of Gayte and may not be used without Gayte’s prior written consent.
All other trademarks, service marks, logos, names, and brands appearing on or through the Service are the property of their respective owners, who may or may not be affiliated with, connected to, endorsed by, or sponsored by Gayte.
Except for Your Content and other User Submissions, all content and materials made available by Gayte through the Service, including without limitation information, data, text, software, music, sounds, photographs, graphics, videos, messages, scripts, tags, designs, compilations, layouts, interfaces, features, and other materials, together with all associated intellectual property rights (“Our Content”), are owned by Gayte and/or its licensors, suppliers, or service providers, as applicable, and are protected by intellectual property and other applicable laws.
Except as expressly permitted under these Terms, you may not copy, reproduce, transmit, distribute, publish, display, perform, modify, adapt, translate, create derivative works from, sell, license, exploit, or otherwise use any part of Our Technology or Our Content without Gayte’s prior written consent.
It is our policy to respond to notices of alleged copyright infringement in compliance with applicable intellectual property law (including the Digital Millennium Copyright Act) and to terminate the accounts of repeat infringers. Gayte, shall be solely responsible for the investigation, defense, settlement and discharge of any such intellectual property infringement claim attributable to the App(s).
If you believe that your content or work has been made available through the Service in a way that constitutes copyright infringement, please provide Gayte Agent for Notice of Copyright Claims with the following information: (i) a physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed; (ii) a description of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works are covered by a single notification, a representative list of such works; (iii) a description of the material that you claim is infringing and where that material may be accessed within the Service; (iv) your address, telephone number and e-mail address; (v) a statement by you that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent or the law; and (vi) a statement from you that the information in the notification is accurate and, under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed. The Standard account on the Service is free to use. Gayte may offer paid features, paid access, Premium subscriptions, one-time purchases, promotional offers, or other paid aspects of the Service from time to time.
Where a fee applies, the applicable price, billing period, features, taxes, renewal terms, and payment conditions will be presented to you before you complete the purchase. By confirming a purchase, you agree to pay the applicable fees and charges shown at the time of purchase, together with any applicable taxes, fees, or currency conversion charges.
Paid purchases, including Premium subscriptions and other in-app purchases, may be processed through the Apple App Store, Google Play Store, or any other applicable app store, payment processor, or distribution platform through which you access or download the App. Fees and charges may be collected by the applicable app store or payment processor, and the price may be displayed in your local currency. You should review the applicable app store or payment processor terms to determine whether the displayed price includes applicable taxes, fees, or currency conversion charges.
Gayte may rely on the applicable app store or payment processor to process payments, manage billing, collect subscription fees, handle renewals, process cancellations or refund requests, and report the status of subscription accounts. Gayte is not responsible for any failure, delay, error, refusal, refund decision, chargeback, suspension, cancellation, currency conversion, tax calculation, or payment processing issue caused by or attributable to an app store, payment processor, bank, card issuer, mobile carrier, or other third party, except where otherwise required by applicable law.
Your access to paid features may be suspended, limited, or cancelled if payment is not successfully completed, is reversed, is charged back, is refused, or is otherwise not received in full. Suspension or cancellation of paid access may result in loss of access to Premium features, paid functionality, account benefits, and associated content, subject to these Terms and applicable law.
Premium subscriptions automatically renew at the end of each applicable subscription period unless cancelled before renewal in accordance with the cancellation procedures of the applicable app store or payment processor. Your account may be charged the then-current subscription price within the period specified by the applicable app store or payment processor before the end of the current subscription period.
You may manage or cancel your subscription through the account settings of the applicable app store or payment processor. Cancelling a subscription stops future renewals but does not necessarily cancel or refund the current paid subscription period. Unless otherwise stated by the applicable app store, payment processor, or applicable law, you will continue to have access to the paid features until the end of the then-current paid period.
Deleting the App does not automatically cancel your subscription and may not delete your user account. If you cancel your subscription or delete the App without deleting your user account, your profile and certain account information may remain available on or through the Service, subject to these Terms and our Privacy Policy.
All payments, cancellations, and refunds are subject to the rules, terms, and policies of the applicable app store or payment processor and to applicable law. Nothing in these Terms limits any mandatory consumer protection rights, statutory withdrawal rights, refund rights, or other remedies that cannot be excluded, restricted, or waived under applicable law.
Gayte may offer free trials, discounts, promotional codes, or other promotional offers at its sole discretion. Eligibility for any trial, discount, promotional code, or offer is determined by Gayte and/or the applicable app store or payment processor. Promotional offers may be subject to additional terms presented at the time of the offer.
Unless otherwise stated, promotional codes are non-transferable, may not be redeemed for cash or credit, may not be applied to previous purchases, may not be combined with other offers or discounts, and must be redeemed by the stated expiry date, if any. Lost, expired, or used promotional codes may not be replaced. Gayte may modify, suspend, or terminate any promotional program at any time, subject to applicable law.
Free trials may automatically be converted into paid Premium subscriptions unless cancelled before the end of the trial period in accordance with the applicable app store or payment processor procedures. Any unused portion of a free trial may be forfeited if you purchase a paid subscription before the trial ends. Free trials may be unavailable to users who have previously used a trial or Premium offer.
Gayte may, at its sole discretion, offer users the option to purchase a one-day pass providing temporary access to certain Premium features of the account for a period of twenty-four (24) hours.
The one-day pass is a one-time, non-recurring purchase and does not create, renew, or convert into any subscription or ongoing paid service. Access to the Premium features will commence upon Gayte’s confirmation of successful payment and will remain available for twenty-four (24) hours from that time, unless otherwise stated at the time of purchase.
Upon expiry of the twenty-four (24) hour period, access to the Premium features will automatically end without further notice, and the user’s account will revert to the Standard version or such other access level as may apply to the account.
All purchases of the one-day pass are final and non-refundable, except where required by applicable law or where Gayte is solely and directly responsible for a technical failure that makes it impossible for the user to access the purchased Premium features during the applicable access period. For the avoidance of doubt, no refund shall be due for interruptions, limitations, or inability to access the Service caused by the user’s device, internet connection, third-party services, app store or payment provider issues, force majeure events, misuse of the Service, or any circumstance outside Gayte’s reasonable control.
Gayte reserves the right to modify, suspend, or discontinue the one-day pass offering, including its price, availability, duration, included features, or conditions of use, at any time, without affecting any one-day pass already purchased and active, except where such changes are necessary for security, legal, technical, or operational reasons.
A Premium subscription may provide access to additional features, which may include, depending on the plan, platform, country, app version, technical availability, and Gayte’s then-current offering:
A subscription is not required to use the Standard version of the Service. Gayte may modify, add, remove, suspend, replace, or limit Premium features from time to time, subject to applicable law and without affecting any mandatory rights you may have.
The Service, or users of the Service, may provide, display, share, or otherwise make available links, references, integrations, advertisements, promotions, or access to third-party websites, mobile applications, services, content, products, resources, or materials (“External Materials”).
You acknowledge and agree that Gayte and its affiliates, officers, directors, employees, contractors, agents, licensors, service providers, successors, and assigns do not control, endorse, verify, or assume responsibility for any External Materials, including any content, advertising, products, services, information, offers, transactions, policies, practices, or materials made available by or through third parties.
External Materials may be subject to separate terms and conditions, privacy policies, cookies policies, community guidelines, payment terms, or other rules, which you are responsible for reviewing before accessing, using, purchasing, relying on, or interacting with such External Materials.
To the fullest extent permitted by applicable law, Gayte shall not be liable for any loss, damage, claim, cost, expense, or harm arising out of or relating to your access to, use of, reliance on, purchase from, transaction with, or interaction with any External Materials or any third party.
Any dealings, communications, purchases, payments, deliveries, warranties, representations, obligations, or disputes between you and any advertiser, merchant, service provider, user, or other third party are solely between you and that third party. Gayte shall have no responsibility or liability for any such dealings or disputes, except where otherwise required by applicable law.
You understand, acknowledge, and agree that you may not, and shall not permit, encourage, or assist any third party to:
The Service may allow you and other users to submit, upload, post, store, share, send, transmit, display, or otherwise make available information, content, and materials, including without limitation profile photos, images, videos, audio, messages, profile text, usernames, hashtags, reviews, ratings, ideas, notes, concepts, suggestions, questions, or other materials (“User Submissions”). User Submissions submitted, uploaded, posted, stored, shared, sent, transmitted, displayed, or otherwise made available by you are referred to as “Your Content”.
You are solely responsible for Your Content and for the consequences of submitting, uploading, posting, storing, sharing, sending, transmitting, displaying, or otherwise making it available through the Service. You represent and warrant that: (i) you own or have all necessary licenses, rights, consents, releases, and permissions to use and authorize Gayte and other users of the Service to use Your Content as contemplated by the Service and these Terms; and (ii) where Your Content includes the name, image, likeness, voice, or other identifiable features of any person, you have obtained all necessary consents, releases, and permissions from such person to use and authorize the use of such content as contemplated by the Service and these Terms.
You retain any ownership rights you may have in Your Content. However, Gayte does not endorse, verify, guarantee, or assume responsibility for User Submissions or for the accuracy, reliability, legality, appropriateness, or quality of any User Submissions. To the fullest extent permitted by applicable law, Gayte shall not be responsible or liable for any User Submissions or for any loss, damage, claim, or harm arising out of or relating to User Submissions or user conduct.
Gayte may, but is not required to, review, screen, monitor, moderate, restrict, remove, disable access to, or reinstate User Submissions, whether manually, automatically, or through technical tools, where Gayte considers such action necessary or appropriate to enforce these Terms, protect users, comply with applicable law, meet app store or platform requirements, prevent fraud, abuse, spam, harassment, illegal activity, or other harmful conduct, or maintain the security, integrity, availability, or reputation of the Service.

Nothing in these Terms shall require Gayte to proactively monitor all User Submissions, except where required by applicable law. Gayte does not guarantee that all inappropriate, unlawful, inaccurate, offensive, explicit, harmful, or objectionable User Submissions will be detected, reviewed, removed, or restricted.
You alone are responsible for Your Content. Once Your Content is submitted, uploaded, posted, shared, sent, transmitted, displayed, or otherwise made available through the Service, it may not always be possible to fully withdraw, delete, or prevent access to it, including where it has been viewed, copied, saved, shared, or otherwise processed by other users or third parties.
You assume all risks associated with Your Content, including any reliance by others on its quality, accuracy, completeness, legality, or reliability, and any disclosure by you of information that identifies you, reveals your location, makes you personally identifiable, or allows others to locate you or determine places you have visited, are visiting, or intend to visit.
You may not state or imply that Your Content is sponsored, approved, verified, or endorsed by Gayte. You may expose yourself to liability if Your Content is false, misleading, defamatory, unlawful, infringing, abusive, harassing, hateful, discriminatory, sexually explicit where prohibited, exploitative of minors, invasive of privacy, harmful, or otherwise violates these Terms, any applicable law, or any third-party rights, including copyright, trademark, patent, trade secret, moral rights, privacy rights, publicity rights, or other intellectual property or proprietary rights.
To keep the Service safe, accessible, compliant with applicable laws, and compliant with app store and platform requirements, Gayte reserves the right, at its sole discretion, to remove, restrict, reject, or disable access to any public profile photo, profile text, username, hashtag, or other profile content that violates these Terms, Gayte’s content guidelines, applicable law, or applicable app store or platform requirements.
If you receive an alert that your profile is in violation of Gayte’s content guidelines, it means that your profile may include content that Gayte considers inappropriate, prohibited, or otherwise not permitted on the Service.
Without limitation, Gayte may prohibit, remove, restrict, reject, or disable access to profile photos, profile text, usernames, hashtags, or other profile content involving:
(i) nudity, exposed or clearly visible genitals or buttocks, visible genital outlines, erections, exaggerated bulges, visible pubic hair, shower photos, or content designed to draw attention to intimate body areas;
(ii) sexually explicit, sexually suggestive, fetish-related, or pornographic content, including real, illustrated, simulated, or partially obscured sexual acts or sexual fluids;
(iii) minors or any person under eighteen (18) years of age;
(iv) illegal drugs, drug use, drug paraphernalia, or references to illegal drugs or sex while using drugs;
(v) violence, self-harm, animal abuse, blood, weapons, threats, intimidation, harassment, hate, racism, intolerance, bigotry, or discriminatory symbols, gestures, or conduct;
(vi) impersonation, misleading identity, use of another person’s photo without permission, celebrities, crowds, costumes, or images where the user is not reasonably identifiable;
(vii) advertising, solicitation, commercial promotion, escort services, massage services, websites, apps, events, goods, services, phone numbers, or social media handles;
(viii) copyrighted images, illustrations, memes, cartoons, landscapes, buildings, animals, pets without the user appearing in the image, blurry images, distorted images, collages, watermarks, stickers, emojis, filters, frames, text overlays, censor blocks, or other modified content; or
(ix) any other content that Gayte considers, at its sole discretion, inconsistent with these Terms, the purpose of the Service, user safety, app store requirements, or applicable law.
Profile names, profile text, hashtags, and other written profile content must comply with these Terms and Gayte’s content guidelines. Gayte may prohibit, remove, restrict, reject, or disable access to content that includes profanity, threats, harassment, intimidation, defamation, insults, hate speech, racism, bigotry, discrimination, incitement to violence or physical harm, advertising, solicitation, commercial promotion, phone numbers, social media handles, references to illegal drugs, or any other content Gayte considers inappropriate, unsafe, misleading, unlawful, or inconsistent with the Service.
Gayte does not claim ownership of Your Content. However, by submitting, uploading, posting, storing, sharing, sending, transmitting, displaying, or otherwise making Your Content available through the Service, you grant Gayte a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, display, publish, distribute, transmit, communicate, modify, adapt, translate, reformat, create derivative technical versions of, and otherwise use Your Content as necessary to operate, provide, maintain, improve, secure, promote, and make available the Service, to enforce these Terms, to comply with applicable law, and for any other purpose permitted under our Privacy Policy.
This license lasts for as long as Your Content is available on or through the Service and for a reasonable period thereafter as necessary for backup, technical, legal, safety, enforcement, audit, dispute resolution, or compliance purposes, unless a longer retention period is required or permitted by applicable law.
You also grant other users of the Service a limited right to access and view Your Content as made available through the Service and in accordance with these Terms and the functionality of the Service.
You understand that the technical processing and transmission of Your Content may involve: (i) transmission over various networks; (ii) changes to conform and adapt to technical requirements of servers, networks, devices, or media formats; and (iii) compression, resizing, formatting, transcoding, or other technical processing necessary to provide or improve the Service.
If you send Gayte any ideas, suggestions, comments, improvements, documents, proposals, or other feedback concerning the Service, the App, Gayte’s business, products, features, or services (“Feedback”), you agree that: (i) your Feedback does not contain confidential or proprietary information of any third party; (ii) Gayte is under no obligation of confidentiality, compensation, attribution, or restriction with respect to the Feedback; (iii) Gayte may already be considering, developing, or using ideas, materials, features, products, or services similar to the Feedback; and (iv) to the fullest extent permitted by applicable law, you grant Gayte a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, fully sublicensable, and transferable license to use, disclose, reproduce, modify, publish, distribute, commercialize, and otherwise exploit the Feedback in any manner and for any purpose.
Gayte and its partners, service providers, or licensees may display advertisements, sponsored content, promotions, or other commercial information in connection with the Service, including adjacent to or near Your Content. You are not entitled to any compensation, revenue share, or other payment in connection with such advertisements or commercial information. The manner, mode, placement, frequency, and extent of such advertising may change without specific notice to you, subject to applicable law.
In order to maintain optimal server performance, ensure the efficient operation of the platform, and prevent unnecessary consumption of system resources, Gayte reserves the right, at its sole discretion, to automatically delete, limit, or make unavailable media and audio content exchanged in private conversations, according to the user’s account type.
Users must comply with any maximum file size, duration, format, quantity, storage, upload, or other technical limits indicated by Gayte when uploading or attempting to upload video, audio, or other media content. Gayte reserves the right, at its sole discretion, to reject, block, limit, compress, remove, or delete any content that exceeds such limits, fails to meet applicable technical requirements, or may negatively affect the performance, security, stability, or availability of the platform.
Unless otherwise stated, such content may be automatically deleted after twenty-four (24) hours for Standard accounts and one-day Premium passes, after thirty (30) days for monthly Premium subscriptions, and after up to twelve (12) months for annual Premium subscriptions.
Premium subscriptions renew automatically at the end of each applicable subscription cycle, unless and until they are manually cancelled by the user or cancelled, suspended, or terminated by Gayte due to force majeure events, technical, operational, security, payment-related, or legal reasons, or where Gayte is required to do so under applicable law or by order of a competent authority.
For monthly Premium subscriptions, the user’s access to media and audio content shall be limited to the current thirty (30) day subscription cycle, subject to the user’s continued active subscription, technical availability, storage limitations, system performance requirements, security considerations, and any applicable legal or regulatory obligations. Upon automatic renewal of a monthly Premium subscription, any media and audio content relating to the previous thirty (30) day subscription cycle may be permanently deleted, and a new thirty (30) day retention cycle shall begin from the date of renewal. For the avoidance of doubt, automatic renewal of a monthly Premium subscription shall not extend, accumulate, or preserve access to media and audio content from previous subscription cycles.
For annual Premium subscriptions, Gayte may provide extended access to media and audio content for a period of up to twelve (12) months within the current annual subscription cycle, subject to the user’s continued active subscription, technical availability, storage limitations, system performance requirements, security considerations, and any applicable legal or regulatory obligations.
For the avoidance of doubt, the twelve (12) month period represents the maximum applicable retention period for annual Premium subscriptions and shall not constitute a guarantee that all media or audio content will remain available for the full duration of that period. Gayte reserves the right, at its sole discretion, to delete, limit, or make unavailable any media or audio content at an earlier date where necessary to maintain server performance, ensure the efficient operation of the platform, prevent excessive or unnecessary consumption of system resources, comply with applicable law, protect the security or integrity of the service, or address technical, operational, or force majeure circumstances.
Upon automatic renewal of an annual Premium subscription, any media and audio content relating to the previous annual subscription cycle may be permanently deleted, and a new annual retention cycle shall begin from the date of renewal. For the avoidance of doubt, automatic renewal of an annual Premium subscription shall not extend, accumulate, or preserve access to media and audio content from previous subscription cycles.
Upon cancellation, expiry, non-renewal, suspension, or termination of the Premium subscription for any reason, the account shall be subject to the Standard account deletion policy.
Any such deletion may be permanent and may occur without prior notice, except where otherwise required by applicable law.
Gayte reserves the right, at its sole discretion and without prior notice, to review, screen, remove, edit, restrict, disable access to, or reinstate any User Submissions or other content made available through the Service, including where Gayte considers such action necessary or appropriate to enforce these Terms, protect users, maintain the security or integrity of the Service, comply with applicable law, or address technical, operational, or legal concerns.
Gayte has no obligation to retain, store, maintain, or provide you with copies of Your Content, except where expressly required by applicable law or as otherwise stated in our Privacy Policy. While Gayte applies measures intended to protect certain information as described in our Privacy Policy, Gayte does not guarantee absolute confidentiality, security, or availability of Your Content.
You are solely responsible for your interactions, communications, meetings, and other dealings with other users, whether on or off the Service. To the fullest extent permitted by applicable law, Gayte and its affiliates, officers, directors, employees, contractors, agents, licensors, service providers, successors, and assigns shall not be liable for any loss, damage, claim, injury, harm, or dispute arising out of or relating to your interactions with other users.
Gayte makes no representations, warranties, or guarantees regarding the conduct, identity, intentions, statements, information, content, suitability, or compatibility of any user. You acknowledge that other users may provide inaccurate, misleading, incomplete, unlawful, or harmful information or content.
You agree to take reasonable precautions and use caution in all interactions with other users, particularly if you choose to communicate outside the Service, share personal information, meet in person, or attend any offline place or event. Gayte is not responsible for monitoring, mediating, or resolving disputes between you and other users, although Gayte may, at its sole discretion, take action where it considers it appropriate or necessary.
You are responsible for maintaining the confidentiality of your login credentials, password, account, and any activity that occurs under your account. You agree to immediately notify Gayte of any actual or suspected unauthorized access to or use of your account, password, or login credentials, or any other actual or suspected breach of security.
You agree that all information you provide to Gayte, including during registration and account setup, is truthful, accurate, current, and complete, and that you will keep such information updated as necessary.
Gayte does not routinely conduct criminal background checks, sex offender registry checks, or comprehensive background investigations on users.
Gayte may, however, use age assurance, facial age estimation, liveness detection, anti-spoofing, fraud-prevention, and, where expressly enabled, identity document verification measures. These measures may be provided by Gayte or by third-party service providers and may be used to enforce age restrictions, protect users, prevent fraud or misuse, comply with applicable law, or satisfy applicable app store or platform requirements.
These limited checks do not guarantee that a user’s identity, age, profile information, background, intentions, conduct, representations, or other information are accurate, complete, lawful, authentic, or trustworthy. A successful age assurance, liveness, or identity verification result does not constitute an endorsement, recommendation, background clearance, or guarantee of safety by Gayte.
Age assurance and verification technologies may produce inaccurate, inconclusive, or unexpected results. Where appropriate or required by applicable law, Gayte may allow a user to resubmit information, repeat the process, use an alternative verification method, request human review, or appeal a decision.
Even where safety, reporting, moderation, screening, notification, age assurance, or verification tools are made available through the Service, such tools are limited and do not guarantee your safety or the accuracy, reliability, authenticity, or completeness of any information about another user.
You remain solely responsible for exercising judgment and taking appropriate safety precautions when communicating with, interacting with, sharing information with, or meeting other users, whether online or offline.
Although Gayte may take steps intended to encourage a respectful and safer user experience, Gayte is not responsible for the conduct, communications, omissions, or actions of any user, whether on or off the Service, except to the extent that such responsibility cannot be excluded under applicable law.
To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Gayte, its affiliates, officers, directors, employees, contractors, agents, licensors, service providers, successors, and assigns from and against any and all claims, demands, suits, actions, proceedings, losses, liabilities, damages, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:
(i) your access to or use of the Service;
(ii) your misuse of the Service, including any misuse of geographic location information or other user information;
(iii) your interactions, communications, meetings, or other dealings with other users, whether online or offline;
(iv) any content that you post, upload, store, share, send, transmit, or other-wise make available through the Service;
(v) your breach or alleged breach of these Terms;
(vi) your violation of any applicable law, regulation, rule, third-party right, or applicable policy; or
(vii) any negligent, fraudulent, unlawful, or willful act or omission by you.
Gayte reserves the right, at its own expense, to assume the exclusive de-fense and control of any matter subject to indemnification by you. In such case, you agree to cooperate fully with Gayte in the defense of any such claim. You shall not settle any claim in a manner that imposes any obliga-tion, liability, or admission of fault on Gayte without Gayte’s prior written consent.
Nothing in this Section shall limit any non-waivable rights you may have under applicable consumer protection laws.
To the fullest extent permitted by applicable law, Gayte shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, anticipated savings, goodwill, reputation, data, content, or other intangible losses, arising out of or in connection with these Terms, the Service, or your access to or use of, or inability to access or use, the Service, whether based on contract, tort, negligence, strict liability, warranty, statute, or any other legal theory, and regardless of whether Gayte has been advised of the possibility of such damages.
To the fullest extent permitted by applicable law, Gayte’s total aggregate liability for all claims arising out of or relating to these Terms, the Service, or your access to or use of the Service shall not exceed the greater of:
(i) the total amount paid by you to Gayte, if any, for the Service during the twelve (12) months immediately preceding the event giving rise to the claim; or (ii) one hundred United States dollars (USD 100).
Nothing in these Terms shall exclude or limit Gayte’s liability where such exclusion or limitation is prohibited by applicable law, including any liability that cannot be excluded or limited under applicable consumer protection laws.
These Terms of Service, the Agreement, the use of the Service and any dispute or claim shall be governed by and construed in accordance with the laws of the United States, without regard to any conflicts of laws principles.
This Section applies to the fullest extent permitted by applicable law.
If you are a consumer residing in the European Union, the European Economic Area, the United Kingdom, or Switzerland, nothing in these Terms shall limit, exclude, or deprive you of any mandatory consumer protection rights, statutory remedies, or rights to bring claims before the courts or competent authorities of your country of residence, where such rights cannot be excluded or restricted by contract.
For such consumers, any arbitration clause, class action waiver, choice of law, jurisdiction, or dispute resolution provision requiring disputes to be resolved exclusively through arbitration outside the user’s country of residence shall not apply to the extent that it would deprive the user of mandatory consumer protection rights or access to competent courts or authorities under applicable law.
Before initiating any formal dispute resolution procedure, you agree to first contact Gayte through the contact methods made available on https://gayteapp.com and provide a brief written description of your claim or dispute.
You and Gayte agree to attempt to resolve the claim informally and in good faith within sixty (60) days from the date on which Gayte receives your written notice, unless a shorter period is required by applicable law.
Except for consumers residing in the European Union, the European Economic Area, the United Kingdom, or Switzerland, and except where prohibited by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms, your access to or use of the Service, or your relationship with Gayte shall be resolved by binding arbitration rather than in court, except that either party may bring qualifying claims in a competent small claims court.
The arbitration shall be administered by the American Arbitration Association (AAA) under its then-applicable rules, including, where applicable, its Consumer Arbitration Rules. The AAA’s rules are available at https://www.adr.org. Payment of filing, administration, and arbitrator fees shall be governed by the AAA’s applicable rules.
The arbitration shall be conducted in the English language by a single independent and neutral arbitrator. The arbitrator’s decision shall be final and binding, and judgment on the arbitral award may be entered in any court of competent jurisdiction. There is no judge or jury in arbitration, and court review of an arbitration award is limited.
To the fullest extent permitted by applicable law, you and Gayte agree that any dispute, claim, or controversy arising out of or relating to these Terms or your access to or use of the Service shall be resolved only on an individual basis and not as part of any class, collective, consolidated, or representative action.
Gayte encourages users residing in the European Union, the European Economic Area, the United Kingdom, or Switzerland to contact us first in the event of any complaint, dispute, or claim, so that we may attempt to resolve the matter amicably and in good faith.
Where available and applicable, Gayte may, at its discretion or where required by applicable law, cooperate with competent consumer alternative dispute resolution bodies or other recognized consumer complaint mechanisms. Any such cooperation shall not prevent either party from exercising any rights or remedies available under applicable law.
Notwithstanding anything to the contrary in these Terms, you and Gayte may seek injunctive relief or other equitable remedies from any court of competent jurisdiction where necessary to protect intellectual property rights, confidential information, platform security, or the integrity of the Service, whether in aid of, pending, or independently of any dispute resolution procedure described above.
If you have any questions, support requests, complaints, or concerns regarding the Service, including without limitation any concerns relating to content, account access, payments, subscriptions, safety, or the operation of the platform, we encourage you to contact Gayte by submitting a support request through or through any other contact method made available by Gayte from time to time.
Gayte will review such requests in accordance with its internal procedures and applicable law. Nothing in this Section limits any mandatory rights, remedies, or complaint mechanisms available to you under applicable law.
If any provision of these Terms is held to be invalid, unlawful, or unenforcea-ble under applicable law, such provision shall be construed, limited, modi-fied, or, if necessary, severed to the minimum extent necessary to eliminate such invalidity, unlawfulness, or unenforceability. The remaining provisions of these Terms shall remain in full force and effect.
No provision of these Terms shall be deemed waived unless such waiver is made in writing and signed by the party entitled to the benefit of such pro-vision. The failure of either party to require performance of any provision of these Terms shall not affect that party’s right to enforce such provision at a later time. Any waiver of a breach of any provision of these Terms shall not be construed as a waiver of any other or subsequent breach.
These Terms shall be binding upon and inure to the benefit of the parties to these Terms and their respective successors and permitted assigns. You may not assign or transfer any of your rights or obligations under these Terms without Gayte’s prior written consent. Gayte may assign or transfer its rights and obligations under these Terms, in whole or in part, in connec-tion with a merger, acquisition, corporate restructuring, sale of assets, change of control, or by operation of law, to the fullest extent permitted by applicable law.
If you downloaded the App from the Apple App Store, Google Play, or any other app marketplace or distribution platform, you acknowledge that these Terms are concluded between you and Gayte only, and not with Ap-ple, Google, or any other applicable app store owner or operator. Gayte, and not the applicable app store owner or operator, is solely responsible for the App, the Service, and their content, except to the extent otherwise required by applicable law.
The applicable app store owner or operator has no obligation to provide any maintenance or support services with respect to the App. Gayte, and not the applicable app store owner or operator, is responsible for addressing any claims relating to the App or your possession or use of the App, including product liability claims, claims that the App fails to conform to applicable legal or regulatory requirements, and claims arising under consumer pro-tection, privacy, or similar laws, except to the extent otherwise required by applicable law.
You acknowledge and agree that Apple, Google, and any other applicable app store owner or operator, and their respective subsidiaries, may be third-party beneficiaries of these Terms where required by their applicable terms, policies, or agreements, and may have the right to enforce these Terms against you as third-party beneficiaries.
Communications between you and Gayte may take place by electronic means, including through the Service, by email, by notices posted on the Service, or by other electronic communication methods made available by Gayte. For contractual purposes, you consent to receive communications from Gayte in electronic form, and you agree that all terms, agreements, notices, disclosures, and other communications provided electronically satis-fy any legal requirement that such communications be in writing. The fore-going does not affect any non-waivable rights you may have under applica-ble law.
These Terms constitute the complete and exclusive agreement between you and Gayte with respect to the subject matter of these Terms and super-sede any prior or contemporaneous proposals, agreements, communica-tions, or understandings, whether oral or written, relating to such subject matter.
You represent and warrant that you are not: (i) located in a country or terri-tory that is subject to a U.S. Government embargo or has been designated by the U.S. Government as a “terrorist supporting” country; or (ii) listed on any U.S. Government list of prohibited, sanctioned, or restricted parties, in-cluding, without limitation, the Specially Designated Nationals List.
To the fullest extent permitted by applicable law, you and Gayte agree that any cause of action arising out of or relating to the Service or these Terms must commence within one (1) year after the cause of action accrues. Oth-erwise, such cause of action shall be permanently barred. This limitation shall not apply where prohibited by applicable law or to claims, rights, or remedies that cannot be limited, excluded, or waived under applicable con-sumer protection, data protection, or other mandatory laws.
